RoverPass Marketplace Terms
The terms that govern listing your campground or RV park on the RoverPass Marketplace.

These Marketplace Terms ("Marketplace Terms") supplement, and are incorporated into, the RoverPass Terms of Service. Capitalized terms not defined here have the meaning given in the RoverPass Terms of Service. Where these Marketplace Terms conflict with the general Terms of Service on a marketplace-specific matter, these Marketplace Terms control for your use of the Marketplace.
PLEASE READ THESE MARKETPLACE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT FEES, PAYOUTS, AND YOUR LEGAL RIGHTS AND OBLIGATIONS, INCLUDING A BINDING ARBITRATION AGREEMENT AND A WAIVER OF CLASS ACTIONS AND JURY TRIALS.
BY LISTING A PROPERTY ON THE ROVERPASS MARKETPLACE, YOU AGREE TO THESE MARKETPLACE TERMS. IF YOU DO NOT AGREE, DO NOT LIST ON THE MARKETPLACE.
1. AGREEMENT AND SCOPE
These Marketplace Terms form a legally binding agreement between you (the "Campground," "Owner," or "you") and RoverPass, Inc. ("RoverPass," "we," "us," or "our") regarding listing and selling reservations for your property on the RoverPass Marketplace (the "Marketplace").
The Marketplace lets campground and RV park owners self-list their property so campers can discover and book it. RoverPass provides the technology and payment facilitation; the reservation itself is a direct contract between the camper and the Campground (see Section 9).
2. ELIGIBILITY AND LISTINGS
2.1 Eligibility. To list on the Marketplace you must be 18 or older, have the legal authority to list, manage, and rent the property, and use the Marketplace only for lawful purposes.
2.2 United States only. The Marketplace is currently available only for properties located in the United States. We do not onboard non-U.S. properties at this time.
2.3 Listing review. A new listing is created inactive and is not publicly bookable until you complete the required setup steps and submit it, and RoverPass has reviewed and approved it. RoverPass may decline, request changes to, or remove any listing at its discretion, including for inaccuracy, policy violations, or suspected fraud.
2.4 Accuracy. You are responsible for the accuracy and completeness of your listing, including rates, availability, photos, amenities, location, and policies, and for keeping them current.
3. OWNER OBLIGATIONS
As a Campground listing on the Marketplace, you are solely responsible for:
• Accuracy of your listing and pricing • Compliance with all applicable laws, tax requirements, permits, and property regulations • Honoring confirmed reservations • Setting and applying your cancellation policy • Managing guest communications and guest conduct at your property • Maintaining the property in the condition represented
RoverPass is not a party to, and is not responsible for, your relationship with campers or the operation of your property.
4. FEES
Listing on the Marketplace is free to set up — there is no upfront cost. Fees apply only when you receive a booking, and all fees are disclosed during onboarding and at checkout.
4.1 Marketplace commission (owner). RoverPass charges the Campground a marketplace commission equal to fifteen percent (15%) of the applicable accommodation fees for each reservation booked through the Marketplace.
4.2 Booking fee (guest). RoverPass charges the camper a booking fee of $3.50 per reservation.
4.3 Payment processing fee. A payment processing fee of 2.9% plus $0.25 per transaction applies to each reservation. During onboarding you choose whether this processing fee is paid by the camper or absorbed by the Campground.
4.4 How fees are collected. RoverPass (via its payment processor) deducts the marketplace commission and any Campground-borne fees from the accommodation fees before remitting the balance to the Campground. Fees are non-refundable except as expressly stated in Section 6.
RoverPass may change its fees on a going-forward basis; changes will be disclosed before they apply to future bookings.
5. PAYOUTS AND STRIPE CONNECT
Payments and payouts are handled by Stripe. To receive payouts you must create and maintain a connected Stripe account and complete Stripe's identity and business verification (KYC). You authorize RoverPass and Stripe to collect reservation payments, deduct applicable fees, and remit the balance to your connected account.
Campground payouts may be subject to: • Stripe processing times • Fraud reviews • Holds required by law or risk protocols • Account verification • Chargeback investigations
RoverPass is not responsible for delays caused by Stripe or other third-party systems. You are responsible for keeping your payout and tax information accurate and up to date.
6. CANCELLATIONS AND REFUNDS
You set the cancellation policy that applies to your listing, and it is disclosed to campers at the time of booking.
Once a reservation is created and payment is processed, RoverPass has provided its service and the RoverPass platform fee (booking fee) is non-refundable. Payment processing fees charged by Stripe are non-refundable. In the event of a refund, the total refund cannot exceed the amount that was paid out to the Campground.
The RoverPass Guest Refund Policy applies to camper refunds and is incorporated by reference.
7. CHARGEBACKS AND DISPUTES
If a camper initiates a chargeback or payment dispute, the Campground is responsible for the disputed reservation amount, the associated processing fees, any dispute or chargeback fee assessed by the payment processor, and any platform fees lost as a result. RoverPass may recover these amounts by deducting them from current or future payouts.
8. TAXES
You are solely responsible for determining, collecting, reporting, and remitting all taxes (including lodging, occupancy, sales, and income taxes) applicable to your reservations and property. RoverPass does not provide tax advice and is not responsible for your tax obligations.
9. MARKETPLACE ROLE AND DISCLAIMERS
RoverPass acts as a technology provider and payment facilitator, not as a party to the transaction between campers and Campgrounds. All bookings form a direct contract between the camper and the Campground. RoverPass is NOT a property owner, manager, employer, or agent of the Campground.
The Marketplace is provided "as is." The warranty disclaimers, limitation of liability, and indemnification provisions of the RoverPass Terms of Service apply to your use of the Marketplace and are incorporated by reference.
10. TERM AND TERMINATION
You may stop listing on the Marketplace at any time by removing your listing or contacting Customer Success at [email protected]. RoverPass may suspend or remove a listing, or terminate your access to the Marketplace, for violations of these Marketplace Terms or the Terms of Service, fraudulent or illegal activity, abuse of the platform, or failure to pay amounts owed. Confirmed reservations and amounts owed survive termination.
11. ARBITRATION AND CLASS-ACTION WAIVER
These Marketplace Terms are subject to the binding arbitration agreement and the class-action and jury-trial waiver set out in the RoverPass Terms of Service, including your right to opt out of arbitration within 30 days as described there. By listing on the Marketplace, you agree to resolve disputes through individual arbitration, not in court, except as those provisions allow.
12. GOVERNING LAW
These Marketplace Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. To the extent any dispute is not subject to arbitration, it shall be brought exclusively in the state or federal courts located in Travis County, Texas.
